Our expertise with corporate and commercial law

We provide a full range of commercial and corporate law services, including:

Business sales, acquisitions, and mergers

Buying and selling businesses needs a strategic and methodical approach from a legal team with the skills and understanding to ensure the best possible deal is agreed upon. We can provide sound legal advice on the most effective approach to secure you the results you want.

Corporate restructuring

If you need to restructure an aspect of your organisation, we can help and advise you on the right course of action. Whether this is changing the ownership structure, making alterations to the share capital or splitting off part of your business.

Shareholder agreements

The right shareholder agreement is crucial to ensure that your business runs smoothly and that disputes and misunderstandings are avoided. We have the commercial understanding to draw up a robust agreement setting out the details of the relationship between your business and its shareholders.

Partnership agreements

A robust partnership agreement is an important part of ensuring that you and your partners understand the rights and responsibilities you each have. We can work with you to draw up an agreement that is both tailored to reflect your business needs, and flexible to allow you to best protect your interests.

Share option schemes

If you wish to give your employees the option to buy shares at some stage, we can set up an employee share option scheme on your behalf, giving them the incentive of shares at a price fixed in advance.

Supply terms and conditions

The contracts governing the supply of goods or services are crucial in ensuring that your business does not run into difficulty. A well-drafted supply agreement will set out the terms on which business is done in sufficient detail to minimise the risk of dispute. Our corporate commercial law team can provide bespoke supply terms and conditions that will safeguard your business while you trade with your chosen partners.

Commercial contracts

Businesses need a range of contracts for a wide variety of agreements, including IT contracts, franchising agreements, distribution and agency agreements, services and outsourcing, website terms and conditions, and intellectual property licensing. We can work with you to identify the key clauses you need covered and draw up the right documentation tailored to the needs of your business.

Commercial property

Commercial property is often the biggest investment a business will make. Agreements can be exceptionally onerous with potential liability for a lengthy lease and expensive property repairs. Our team will ensure that you understand the implications of your agreement and ensure that the terms are in your best interests. View our commercial property page here.
